Terms and conditions

1. Applicability

1.1 The underlying KOENTACT General Terms and Conditions (“Terms”) apply to all Agreements
between KOENTACT, having its registered seat at Elandsgracht 70, 1016TX, Amsterdam
(“KOENTACT”) and any individual person (“Student”) purchasing course(s), training, classes, or
similar services (“Courses”) for its own behalf. For In-Company and Private Courses, special Terms
apply, which are available upon request (info@koentact.nl).

2. Term of Agreement

2.1 The Agreement starts of the date that the Student: (i) has signed and submitted a completed
enrollment form to KOENTACT; and (ii) is at least 18 years of age on the date of submission; and (iii)
meets the entry-level requirements as stated in section 3.1 below; and; (iv) has paid the purchase price
(“Course Fee”). The enrollment forms, together with these Terms, are hereinafter to be referred to as
“Agreement”.

3. Courses

3.1 Courses provided by KOENTACT are divided into proficiency levels which may require a Student
to have reached an entry-level before being admitted to such Course. Final admittance to the Course
(other than starting level) the Student has enrolled to, is conditional on the Student passing the intake
test based upon the Course’s entry-level requirements to be assessed per KOENTACT’s discretion.

3.2 In principle, Courses take place at the Da Costastraat 36, Elandsgracht 70 or Hannie
Dankbaarpassage 10, Keizersgracht 316 Amsterdam. If there are no classrooms available at these
locations, KOENTACT reserves the right to relocate its Courses to another facility within the city of
Amsterdam.

3.3 During the term of the Course the Student has enrolled to, Students may request once to be
transferred to a different proficiency level without extra charge. KOENTACT shall honour such
request in case all of the following apply: (i) The second lesson of the current Course has not taken
place yet; and (ii) there’s the capacity to fit the Student in the class for the proficiency level the
Student has requested; and (iii) the Student has reached the entry-level of the requested proficiency
level.

3.4 Group courses at Koentact take place within a term of six weeks (“Sessions”). During the term of
the Course, Students may request to be transferred to a future Session, for reasons within the student’s
control, as opposed to reasons beyond the student’s control as stated in 5.4. These reasons can include
but are not limited to work schedule, travel, vacation, personal reasons. Before the start of the Course,
this transfer request will be granted free of charge. After the start of the Course, an extra applies for a
transfer to a future Session (“Postponement Fee”). The Postponement Fee amount varies based on the
course category and time of the request, as outlined in the overview below.

Postponement Fees

Evening/Morning Courses:

  • Postpone between lesson 1 and 3: €115
  • Postpone between lesson 3 and 6: €195
  • After lesson 6: No transfer to a later session possible.

Online Courses:

  • Postpone between lesson 1 and 3: €95
  • Postpone between lesson 3 and 6: €155
  • After lesson 6: No transfer to a later session possible.

Conversation Courses:

  • Postpone between lesson 1 and 2: €65
  • Postpone between lesson 2 and 3: €90
  • After lesson 3: No transfer to a later session possible.

Intensive Week Courses:

  • Postpone between lesson 1 and 2: €220
  • Postpone between lesson 2 and 3: €365
  • After lesson 3: No transfer to a later session possible.

3.5 The Student’s inability to attend a class (or entire Course) is at the risk of the Student and
KOENTACT shall have no obligation to refund any (part of) the Course Fee.

4. Prices and Payment conditions

4.1 The prices listed on KOENTACT’s website are the official prices for the Courses. All prices stated
on the website are in EURO. Koentact is a registered language school and as such exempted from
charging VAT.

4.2 During the enrollment process on the KOENTACT website, the following payment options are
made available: iDeal, credit card, invoice, and cash. A payment receipt (or, if so
required, an invoice) will be sent automatically. All Course and other fees due to KOENTACT, must
have been paid prior to the start date, but no later than 30 days from the date of submission of the
enrollment form.

4.3 KOENTACT offers a package deal for Students who pay for a minimum of three Courses at once.
The package deal offers a €50 discount per in-person Evening and Morning Course. The package deal
offers a €40 discount per online Evening course. If a student wants to use the package deal the Course
Fee for all Courses needs to be paid in full before the start of the first Course. The Student is eligible
to follow the Courses within 1 year (or 8 sessions) after starting his/her/their first Course. After 1 year
the right to follow any Courses under the package deal becomes void. Once the Student attends the
first class of the first Course, cancellation is only possible under term 5.4 of these Terms.

5. Cancellation

5.1 The Student has the right to cancel the Agreement with immediate effect up to fourteen (14) days
from the date of submission of the Course enrollment form by submitting a written (post or e-mail)
notice to KOENTACT of such termination (COOLING-OFF period). However, this termination right
shall expire upon the date the first class of the Course is scheduled.

5.2 The student may cancel the Course up to seven (7) days before the start of the Course and receive
a full refund notwithstanding the right for cancellation in 5.1.

5.3 Before starting the Course, and notwithstanding the Student’s rights under section 5.1 and 5.2
above, the Student may request cancellation of its subscription to the Course and a refund of the
Course Fee by submitting such a request in writing (by e-mail) to KOENTACT. Acceptance of such a
termination request shall be at KOENTACT’s sole discretion.

5.4 During the Course, in the event of circumstances beyond the Student’s reasonable control
permanently inhibiting the Student from further participating in the Course, the Course Fee will be
reimbursed, upon receipt of a written request for cancellation and valid evidence is provided of such
occurrence, on a pro-rata basis and after deduction of a €50 administration fee to cover the cost of
cancellation incurred by KOENTACT.

5.5 KOENTACT reserves the right to cancel any scheduled course up to 24 hours prior to the
scheduled start of such Course in case the number of enrolled Students for such course falls below the
threshold for such Course. In such a case, KOENTACT shall give the Student the opportunity to select
either a refund or to enrol in another (future) course. KOENTACT maintains the following thresholds:
(i) in-person courses start with a minimum of five (5) students; (ii) online courses start with a
minimum of four (4) students, and (iii) intensive week courses start with a minimum of three (3)
students.

5.6 Refunds are paid within seven (7) workdays of receipt of communication and/or proof concerning
section 5.3 and 5.4.

6. Communication, Confidentiality and Service Level

6.1 All notices, under the Agreement, to KOENTACT are to be made either by post addressed to
KOENTACT at Elandsgracht 70, 1016TX, Amsterdam or via e-mails to info@koentact.nl.

6.2 KOENTACT shall respond to all communication received either by post, e-mail, or phone which
requires a response within five (5) workdays from receipt of such communication.

6.3 KOENTACT shall use the Students personal information solely for the following purposes: (i) to
carry out its obligations under the agreement, including sharing contact details with the assigned
teacher, (ii) commercial offerings from KOENTACT (not from any third party), and (iii) any other
communications from KOENTACT relevant for the Student.

6.4 Upon the Students written request, KOENTACT shall cease to send the Student any other
communication than strictly necessary to carry out its obligations under the agreement.

6.5 KOENTACT shall never communicate information shared by the Student during the Course with
any third party.

7. Conduct

7.1 KOENTACT reserves the right to dismiss any Student displaying unacceptable, including without
limitation, discriminating, racist, sexual, aggressive, or other inappropriate behaviour to the
reasonable opinion of KOENTACT, at any time, without the Student being entitled to any form of a
refund, compensation or damages.

8. Limitation of Liability

8.1 KOENTACT shall not be liable under any agreement for any indirect, special, incidental, punitive
or consequential damages, or any other similar damages under any theory of liability (whether in
contract, tort, strict liability or any other theory). Further, KOENTACT shall not be liable, in any way,
for theft, damage, or loss of the Student’s personal effects.

8.2 The Student assumes all responsibility for the selection of the Course necessary to achieve the
Student’s intended results, and for the use and results of the Course. Despite its full commitment to
deliver high quality language courses, KOENTACT makes no warranty for any course to be fit for
any intended purpose.

8.3 KOENTACT’s total liability for any direct loss, cost, claim, or damages of any kind related to the
Agreement shall not exceed the amount of the Course Fees paid or payable by the Student to
KOENTACT under this Agreement during the 12 months prior to the event giving rise to such loss,
cost, claim or damages. However, nothing in Section 8.3 shall have the effect of limiting a
KOENTACT’s liability for personal injury or death caused by the negligence of KOENTACT and
fraud.

9. Image Use

9.1 KOENTACT may take photos and videos of the Students for inclusion in promotional material
(brochures, websites, catalogues, etc.) unless the Student has explicitly communicated an objection to
this upon enrollment.

9.2 KOENTACT, or its licensors own all intellectual property in any work published either on its
website, hard copy hand-outs, and digital works shown or provided to the Students. The Students shall
not be allowed, without the prior written consent of KOENTACT to copy, distribute, or use the
materials in any other way as strictly necessary for successful completion of the Course.

10. Miscellaneous

10.1 These Terms together with the enrollment form represent the entire agreement between the
parties and supersedes any prior or current understandings, whether written or oral. If there is a
conflict between these Terms and the enrollment form, the enrollment form will prevail.

10.2 The Agreement will be governed by the laws of The Netherlands. The parties hereto consent to
the jurisdiction of the Court of Amsterdam for any claim relating to this Agreement. Notwithstanding
the parties’ right to submit a claim to the Court of Amsterdam, the Student shall first try to resolve
any dispute under the Agreement by submitting a formal complaint in accordance with KOENTACT’s
formal complaint procedure which shall be provided to the Student upon the Student’s earliest written
request.
